By accessing or using any website, app, API, or professional service operated by PRPM Solutions (“PRPM,” “we,” “our,” “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Services.
2. Eligibility
You must (a) be at least 18 years old (or the age of legal majority in your jurisdiction), and (b) have the authority to enter into a legally binding contract on behalf of yourself or the entity you represent. The Services are not intended for children under 16.
3. Account Registration and Security
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
PRPM may suspend or close accounts for suspected violation of these Terms or applicable law.
4. Description of Services
PRPM provides AI-automation consulting, workflow design, software development, hosted SaaS tools, and related professional services (collectively, the “Services”). Specific features, pricing, and service-level commitments may be set out in separate Order Forms, Statements of Work, or Service Level Agreements (“Order Documents”). If there is a conflict, the Order Document prevails.
5. Your Content
“User Content” means prompts, datasets, code, images, trademarks, or other materials you submit.
You grant PRPM a non-exclusive, worldwide, royalty-free licence to use User Content solely to provide and improve the Services (including model fine-tuning and safety auditing).
You represent that you have all rights and consents needed to grant this licence and that your User Content does not infringe any third-party rights or violate law (including the Jordan Personal Data Protection Law No. 24 of 2023) Securiti.
6. Acceptable Use
You must not, and must not allow others to:
Violate any applicable law or regulation (incl. EU AI Act restrictions for prohibited AI practices) Artificial Intelligence Act;
Upload unlawful, harmful, or infringing content;
Use the Services to generate or disseminate disinformation, spam, malware, or content that exploits minors;
Attempt to reverse-engineer, probe, or disrupt PRPM systems;
Exceed rate limits or use automated scraping without written consent.
PRPM may monitor, filter, and remove content or suspend accounts that breach this section.
7. Electronic Signatures & Contract Formation
You agree that electronic signatures, click-wrap, and similar actions constitute valid consent under the Electronic Transactions Law No. 15 of 2015 and are legally binding. Eversheds Sutherland
8. Fees & Payment
Fees are specified in Order Documents or the pricing page. Unless otherwise stated:
All fees are due net 15 days from invoice date;
Late payments incur 1.5 % interest per month or the maximum allowed by law;
Fees exclude taxes, duties, and withholdings, which you must pay.
9. Intellectual Property
PRPM and its licensors retain all IP rights in the Services, software, documentation, and underlying models.
Except for the limited rights expressly granted, no licence or ownership is transferred to you.
10. Feedback
Any feedback or suggestions you provide may be used by PRPM without restriction and without compensation to you.
11. Confidentiality
Each party must protect the other’s non-public information with the same care it uses for its own confidential information (but at least reasonable care) and may use it only to perform its obligations under these Terms.
12. Data Protection
PRPM processes personal data in accordance with its Privacy Policy and applicable laws, including Jordan PDPL 2023 and, where relevant, GDPR and CCPA. Securiti
13. Warranties & Disclaimers
Service Warranty. PRPM warrants it will provide Services with reasonable skill and care.
AI Output Disclaimer. AI-generated outputs may contain inaccuracies or bias. You assume all responsibility for verifying their correctness and legality before relying on them.
No Other Warranties. Except as expressly stated, the Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind (express, implied, or statutory), including merchantability, fitness for a particular purpose, or non-infringement.
14. Limitation of Liability
Indirect Damages. PRPM will not be liable for lost profits, revenue, data, goodwill, or any indirect, special, consequential, or incidental damages.
Cap. PRPM’s total aggregate liability arising out of or related to the Services will not exceed the amounts you paid to PRPM in the 12 months preceding the claim.
Nothing limits liability that cannot be limited under applicable law.
15. Indemnification
You will indemnify and hold PRPM, its affiliates, and their officers, employees, and agents harmless from any claim arising out of:
Your breach of these Terms;
Your User Content;
Your use of the Services in violation of law or third-party rights.
16. Term & Termination
These Terms begin when you first access the Services and continue until terminated.
Either party may terminate (a) for convenience with 30 days’ notice (unless an Order Document specifies a committed term), or (b) immediately for material breach that is not cured within 15 days.
Upon termination, your right to use the Services ceases, and you must delete any PRPM confidential information. Sections 9–15, 17–19 survive termination.
17. Modifications to the Services or Terms
PRPM may update these Terms or modify the Services. Material changes will be notified at least 30 days in advance by email or in-app message. Continued use after the effective date constitutes acceptance.
18. Governing Law & Dispute Resolution
Governing Law. These Terms are governed by the laws of the Hashemite Kingdom of Jordan, without regard to conflict-of-laws principles.
Disputes. Any dispute not resolved informally shall be finally settled by binding arbitration under the Jordan Arbitration Law before a sole arbitrator in Amman, Jordan, conducted in English. Either party may seek interim injunctive relief in the courts of Amman.
19. Export & Sanctions Compliance
You may not use the Services in violation of export control or sanctions laws. You represent you are not on any prohibited-party list and will not allow any sanctioned entity to access the Services.
20. Entire Agreement & Severability
These Terms, together with any Order Documents and the Privacy Policy, form the entire agreement between you and PRPM. If any provision is held unenforceable, that provision will be modified to reflect the parties’ intent, and the remaining provisions will remain in full force.
